These Terms and Conditions (“Terms”) govern your use of the Valbax website (https://valbax.com) and the purchase of any products. By using this site, you agree to these Terms in full. If you do not agree, please exit the site immediately.

1. Business Information

Valbax is the trading name of Valbax Pte Ltd, registered in Singapore under Registration Number 2026XXXXXE. Our registered office is located at 45 Kovan Rd, Singapore 548130.

2. Eligibility and Account Security

  • You must be at least 18 years old to purchase from Valbax.
  • You are responsible for maintaining the confidentiality of your account credentials. Valbax is not liable for any loss resulting from unauthorized access to your account.

3. Product Information and Pricing

  • Accuracy: We strive for 100% accuracy, but we do not warrant that product descriptions, images, or prices are error-free.
  • Right to Cancel: In the event of a typographical error or technical glitch resulting in an incorrect price, Valbax reserves the right to cancel any orders placed at the incorrect price, even if the order has been confirmed and your payment processed. A full refund will be issued in such cases.
  • Availability: All watches are subject to availability. We reserve the right to limit quantities or discontinue products at any time.

4. Special Provisions for Pre-Orders and Limited Editions

  • Payment for Pre-Orders: For all items marked as “Pre-Order,” Valbax requires payment in full at the time of the order to secure your allocation. This payment is non-refundable unless the product is discontinued or the order is cancelled by Valbax.
  • Estimated Shipping Dates: Any shipping date provided for a Pre-Order or Limited Edition item is an estimate only. Luxury watch manufacturing and international logistics are subject to delays beyond our control. Valbax is not liable for any losses (financial or otherwise) resulting from a delay in the release or shipment of a Pre-Order item.
  • Anti-Scalping & Quantity Limits: To ensure fair access for genuine collectors, Valbax reserves the right to limit the number of Limited Edition timepieces per customer, household, or IP address. If we suspect an order is placed for the purpose of commercial resale or “scalping,” we reserve the right to cancel the order immediately and blacklist the account.
  • Non-Transferability: Pre-Order slots and confirmed allocations for Limited Edition watches are strictly non-transferable. You may not sell your “spot” or “allocation” to a third party.
  • Allocation Rights: In the event that a manufacturer provides Valbax with fewer units than originally promised, we reserve the right to fulfill orders based on the chronological order in which they were received (First-In, First-Out). If we cannot fulfill your order due to a supply shortage from the manufacturer, your sole remedy is a full refund of the amount paid.

5. Payments and Security

  • All prices are listed in USD.
  • Payment must be received in full before an order is dispatched.
  • We use third-party encrypted payment gateways. Valbax is not liable for any breaches occurring on third-party platforms.

6. Shipping, Risk, and Title

  • Delivery: Delivery dates are estimates and not guaranteed. Valbax is not liable for delays caused by couriers, customs, or force majeure events.
  • Risk of Loss: The risk of loss and title for the timepiece passes to you upon our delivery to the carrier.
  • Import Duties: You are responsible for all customs duties, taxes, and fees levied by your country.

7. Intellectual Property (IP) Protection

  • All content on this site—including logos, high-resolution watch photography, text, and website design—is the exclusive property of Valbax or its licensors.
  • You are strictly prohibited from reproducing, modifying, or distributing any content from this site for commercial purposes without written consent.

8. Limitation of Liability (The “Shield” Clause)

  • To the maximum extent permitted by law, Valbax shall not be liable for any indirect, incidental, or consequential damages (including loss of profits) arising from the use of our products or website.
  • Our total liability to you for any claim shall not exceed the amount paid by you for the specific product that gave rise to the claim.

9. Prohibited Conduct

You agree not to:

  • Use the site for any fraudulent activity.
  • Attempt to bypass any security measures or “scrape” data from the site.
  • Post defamatory or infringing content in any review sections.

10. Governing Law and Dispute Resolution

  • These Terms are governed by the laws of Singapore.
  • Any disputes shall first be attempted to be resolved through good-faith negotiation. If unsuccessful, disputes shall be submitted to the exclusive jurisdiction of the courts in Singapore.

11. Amendments

Valbax reserves the right to update these Terms at any time without prior notice. Your continued use of the site constitutes acceptance of the revised Terms.
